House Settlement…
+ The NCAA and Power 5 conferences have agreed to terms in the House, Hubbard and Carter v. NCAA antitrust lawsuits. A joint statement from NCAA President Baker and the P5 commissioners reads: "The five autonomy conferences and the NCAA agreeing to settlement terms is an important step in the continuing reform of college sports that will provide benefits to student-athletes and provide clarity in college athletics across all divisions for years to come. This settlement is also a road map for college sports leaders and Congress to ensure this uniquely American institution can continue to provide unmatched opportunity for millions of students. All of Division I made today's progress possible, and we all have work to do to implement the terms of the agreement as the legal process continues. We look forward to working with our various student-athlete leadership groups to write the next chapter of college sports." (link)
+ ESPN’s Dan Murphy and Pete Thamel report that a “series of formulas devised by a sports economist will be used to decide how to split the $2.7B in damages among more than 10,000 former and current athletes. [Plaintiffs’ attorney Steve Berman] said some money will be split evenly among all members, but other parts will be allocated based on the athlete's market value. Metrics such as career snap count or a player's star rating in recruiting might determine their payout, he said.” Berman also noted the settlement includes a "mechanism" that he believes will make it easier for schools to rein in the marketplace for third-party NIL deals, though he declined to provide any further details. Additionally, Berman believes U.S. District Court Judge Charlotte Sweeney will change her mind in the Fontenot v. NCAA case once the terms of the settlement are approved. "Some athletes could be getting tens of thousands or over a hundred thousand [dollars] in the settlement. They'd have to choose to see if they could do better on their own." Fontenot plaintiffs’ attorney Garrett Broshuis says he is monitoring the House events closely and that the plaintiffs might consider opting out once they see the terms of the deal. U.S. District Court Judge Claudia Wilken is likely to hold a preliminary hearing to consider the settlement in July. (link)
+ Hagens Berman and Winston & Strawn, which was co-founded by plaintiffs’ attorney Steve Berman and whose co-executive chairman is Jeffrey Kessler, confirms some details that have been reported, including the amount of the settlement (over $2.75B) and that in the first year the agreement is effective, each school can share 22% of the average Power 5 school’s revenues, which is currently projected to be significantly more than $20M per school per year. The firm adds: “The value of the new benefits and payments that can be provided to the college athletes under the settlement will grow each year, as college sports revenues increase. Over the 10-year settlement period, attorneys estimate that the total value of new payments and benefits that may be shared with college athletes will exceed $20B, making it one of the largest antitrust class-action settlements in history.” More. + Sportico’s Michael McCann points out that an approved settlement “would not represent case precedent—it would only be a contract. And, since the settlement’s terms have not been bargained with a union, the settlement would not insulate the NCAA from other antitrust lawsuits. A system with revenue sharing, salary caps and other restraints on pay that is not borne through collective bargaining is vulnerable to antitrust challenge. … Fontenot could be added to the settlement if and when the settlement is approved by Wilken, but its continued presence highlights the limited universe in which the House settlement operates. If the NCAA and member schools believe they are buying a ‘get-out-of-court’ card by settling, the legal system will have disappointing news to share.” McCann also explains that part of the settlement money, “possibly 25% to 35%, will go to the players’ attorneys as determined by Wilken.” (link)
+ The Athletic’s Stewart Mandel describes what won’t happen as a result of the House settlement. First, fans won’t stop watching college football. Mandel cites former CBS Sports President Neal Pilson, who said during the 2014 O’Bannon v. NCAA case that “if we go down the road of paying players substantial sums, all will be lost.” Mandel: “Well, we have nearly three years of data now that confirms this argument was complete bunk. Many college athletes – not just in football and men’s basketball – began receiving ‘substantial sums’ of NIL money beginning July 1, 2021. What has happened since? Thirty-seven regular-season college football games last season garnered at least 5M viewers, up from 29 a decade earlier. Last year’s Ohio State-Michigan game drew the sport’s largest regular-season audience (19.1M) since 2011, back when serving cream cheese on bagels was still an NCAA violation.” Mandel also asserts student-athletes’ academic experience will not be affected, collectives won’t go away and the NCAA won’t stop being sued. Mandel points to several ongoing legal disputes over athlete employment, transfer rules, booster involvement in recruiting and more. “House may reshape college sports unlike any lawsuit before it, but the larger remodeling project may still only be in the early stages.” More from Mandel. Kennyhertz Perry attorney Mit Winter explains why he believes classifying revenue-sharing with student-athletes as broadcast NIL means the money likely will not be split evenly among male and female student-athletes. “If payments are for use of athlete NILs in TV broadcasts, we know certain sports drive the vast majority of that TV revenue: football and men’s basketball. So I can’t see schools taking money that’s being paid by networks to broadcast football and basketball games and giving half to female athletes. With the agreements being for the use of athlete NILs, the schools will need to figure out a way to value those athlete NILs. And I can’t see them artificially depressing payments to football and basketball players and artificially increasing payments to athletes in other sports. That could create new legal headaches for schools. And I also don’t think Title IX requires them to divide payments up like that. The NIL payments aren’t ‘scholarship aid’ as covered by Title IX. They are market-based payments for use of an athlete’s NIL. With an annual cap on the NIL rev share payments to athletes, I think schools will start to differentiate themselves by being good at obtaining outside NIL deals for athletes. With the recent NCAA bylaw changes, schools can now obtain/facilitate outside NIL deals. Schools that get good at this will have a recruiting advantage. I think many will partner with agencies or their MMR partners to help in this effort. MMR partners will likely be able to have success in obtaining co-branded deals (that use school trademarks and athlete NILs).” (link)

Yahoo’s Dan Wetzel posits the “DEFCON rating” for the chance of the creation of a super league “should be lowered in the wake of the expected college athletics settlement this week in the federal House v. NCAA case. If nothing less, the big schools and big conferences now have around 2.1B reasons to stay put and keep both the NCAA and the other 27 Division I conferences, including 22 non-football playing leagues, both alive and viable.” Wetzel notes it’s “probably not” fair for non-Power 4 conferences to pay as much as they would purportedly have to in the House settlement; “however, in an odd, if expensive way, the other 27 conferences and the NCAA itself picking up the bulk of the settlement has one significant advantage. The big conferences need them. Not only do they need them, they need them to remain financially solvent and capable of continuing to pay their share for the next decade. To do that, they need the NCAA to continue to exist and the NCAA basketball tournament to thrive and thus fill the coffers of both the NCAA itself and the smaller conferences. It’s the antithesis of collegiality, but again, money is everything here. Many hands make light work.” (link)

USA Today’s Blake Toppmeyer and Kevin Brockway break down what Georgia QB Jaden Rashada’s lawsuit against Florida means for the program and Gators HC Billy Napier, and Brockway posits that “it’s not as bad as it could have been, in light of an NCAA investigation into Rashada being put on hold due to the court judgment in the Nico Iamaleava NCAA NIL case. It’s not the greatest look for a Florida athletic program that prides itself on integrity and doing things the right way. For Napier and the Florida football program, it could impact recruiting, although UF’s NIL situation is more in order since the Rashada recruitment.” Toppmeyer notes Napier being named “isn't the marketing you want when trying to jumpstart a 2025 recruiting class that houses five commitments” and is currently ranked 44th nationally by 247Sports. “Worse than this lawsuit, though, would be this case seeing the inside of a courtroom. Napier would do well to settle this in tidy fashion and trumpet that this was more the work of sloppy booster involvement than any wrongdoing on his part and that Florida's NIL efforts are now in order.” Toppmeyer and Brockway both believe the suit will ultimately be settled, with Toppmeyer saying: “Solving this as quickly and quietly as possible is the best path forward for Napier and the Gators. Put this in the past, win games and push the narrative that Florida corrected its NIL false-start.” (link)

The Wall Street Journal’s Jared Diamond and Rachel Bachman profile Duke’s rapid ascension in softball since adding the sport in 2018, noting the “Blue Devils have gone 50-6 this season, won the ACC tournament and spent much of the spring in the top five of virtually every poll. At one point last month, Softball America had them at No. 1 in the country.” Blue Devils Deputy AD for Administration and Regulatory Affairs/Chief of Staff Todd Mesibov serves as softball’s sport administrator and credits HC Marissa Young with building “this into something that we hoped we’d have someday, but she’s done it in a period of time that’s beyond what we thought was likely and even possible. She changed the timeline.” To start the program, Young called on a recruit she had once turned away from North Carolina, where she was the pitching coach at the time. Peyton St. George recalls attending a pitching camp at UNC, after which Young told her and her father: “Thank you for coming, but Peyton’s just not what we’re looking for.” Fast forward to 2015 and St. George received a phone call from Young, who said: “Hey, Peyton, it’s Marissa Young, the new head coach of Duke softball. I’m calling because I want to build my program around you.” Young notes she liked St. George from the outset but had limited sway as a junior assistant on the UNC staff. On St. George’s official visit, Young showed her a big grass field that would one day become a softball stadium. At that point, Mesibov says Young had nothing to sell besides “a pile of dirt and a dream.” More. (link)

Puck’s John Ourand asserts that Warner Bros. Discovery’s decision to sublicense College Football Playoff games from ESPN is “not a sign at all that it has moved on from the NBA.” Ourand notes The Athletic’s Andrew Marchand reported that ESPN had valued the first-round games at $25M apiece, “so it’s likely that WBD is paying more for its two first-round games per year for the next five years, plus two quarterfinal games starting in 2026. Obviously, those amounts are a far cry from the $2.5B a year that NBC has offered for the NBA. After all, this type of deal fully comports with WBD’s strategy of adding sports rights to maintain the value of its cable business. In the past couple of years, WBD has picked up rights to the NHL, NASCAR, and U.S. Soccer. If [WBD CEO David Zaslav] decides not to trigger those matching rights, you can expect WBD to invest a large portion of its $2.5B+ of dry powder into other sports rights deals.” (link)

The future of private equity’s involvement in NFL ownership rests with a group of owners SBJ’s Ben Fischer describes as “reluctant supporters. These are owners who don’t ever foresee selling equity to a fund themselves and would prefer the league not do it at all, but they're willing to go along for the sake of their colleagues who insist this is necessary. … Owners with this viewpoint see risk/reward differently than owners who want to do a PE deal as soon as they’re allowed. At least five teams have been trying to sell significant minority stakes in recent months – the Dolphins, Chargers, Bills, Raiders and Eagles – and nearly half the league is facing major facility expenditures that could conceivably use equity financing. However, it appears those most eager to bring PE into the fold will have to appease those who are most worried about the downside and are less interested in it.” One area of concern involves conflicts of interest, as Fischer notes: “What if a fund owns part of a player agency or a sportsbook? What if a fund’s own limited partners include players or broadcasters or gambling investors? Those cross-ownership issues are common to many sophisticated businesses, but new to NFL owners, who are accustomed to personally knowing their co-investors.” (link)

U.S. District Court Judge Charlotte Sweeney has denied the NCAA’s request to move Fontenot v. NCAA to California, where the association had hoped to consolidate it into the House, et al. settlement. ESPN’s Dan Murphy notes former Colorado football student-athlete Alex Fontenot (and other athletes) will have to opt out of the class settlement to continue pursuing this case. “But now that they know there will be a venue to continue, it increases the odds that some athletes might opt out – which could mean that the peace the NCAA thinks it's buying with this settlement could be very short-lived. Unclear if it's enough to derail current settlement talks. Steve Berman, co-lead counsel for the plaintiffs in House, says he's not concerned about potential opt-outs as a result of the Fontenot case and believes the judge will reconsider the denial after terms of the settlement are made official.” (link, link, link)

The Big 12 paid former Commissioner Bob Bowlsby over $17.2M in total compensation for the 2022 calendar year, and the league tells USA Today’s Steve Berkowitz that $12.26M “of his remaining contract was paid out” in 2022 and another $3.337M “vested” and was paid to Bowlsby. As commissioner in 2022, Bowlsby was credited with a little over $1.45M in base salary, an annualized rate of $2.5M. Berkowitz also reports former Pac-12 Commissioner Larry Scott received a $1.5M severance payment in 2022, as well as $750K in bonus and incentive pay. Berkowitz notes it was the “second consecutive year in which Scott received $1.5M in severance. Scott also continued to have the benefit of a nearly $1.9M relocation loan that dates from his hiring in July 2009.” The league tells Berkowitz that Scott’s severance pay ended in 2022, the loan is due to be repaid in full by June 30, 2024. Additionally, former ACC Commissioner John Swofford, who stepped down in June 2021, received nearly $2.6M from the conference in 2022, “almost all” of which was reported as base pay. Also in 2022, former Pac-12 Commissioner George Kliavkoff received $500K in bonus pay and was credited with just under $4M in total compensation. More from Berkowitz. (link)

ACC Commissioner Jim Phillips received $2.8M in total compensation during FY23, according to the Richmond Times-Dispatch’s David Teel, who adds the conference reported a record $3.6M in legal expenses, up 28.6% YoY. Despite the ACC’s 14.5% revenue increase, Teel notes Florida State and Clemson continue to try and close the gap with the SEC and Big Ten, and Virginia Tech AD Whit Babcock remarks: “I know they have their own reasons for doing it, but it’s a bit of a distraction and certainly takes away from some of the positive messaging, whether that’s drastic improvement in football viewership (or) all the national championships the ACC’s won.” (link)

The Mercury News’ Jon WIlner adds some context to the Pac-12’s FY23 financial picture, pointing out that “despite the year-over-year increase in revenue, distributions to the 12 campuses declined by $3.4M per school, or 9.1%, from $37M in the 2022 fiscal year to just $33.6M in 2023.” The conference attributed the decline in distributions to “lower revenue for Pac-12 Networks related to affiliate fees.” Wilner notes the Pac-12 Networks reported $97.3M in revenue, a year-over-year dip of $9.6M. Split 12 ways, that works out to $800K per campus and doesn’t account for the overall decline in distributions. “That lower total is the result of Comcast, a distribution partner, withholding payments to the networks in order to offset the amount it overpaid over the course of a decade. The Pac-12 knew about the overpayments, which totaled about $72M, but did not correct the matter until Comcast realized the mistake and contacted the Pac-12 in the fall of 2022. (link)

With revenue-sharing all but inevitable, Georgia AD Josh Brooks says the Bulldogs will need to generate more revenue while also controlling costs. “You have to pull every lever. So just like you with your own personal finances, we’re going to try to find ways to grow revenue, whether it’s through our multimedia rights partner, whether its future revenue gains through TV contracts with the CFP, I think looking at opportunities with ticket prices are a way. But also we’ve got to be good stewards with our money. So we’ve got to find efficiencies and make sure we operate in the most efficient manner possible. That’s incumbent upon us. You can’t always think the answer to everything is to generate more revenue, you’ve got to look at yourself and say, ‘Where can we be more efficient while still providing a first-class experience for our student-athletes?’ So maybe cuts to how the staff operates, as well.” Brooks also told the UGA Athletics Association that increasing ticket prices was one way the department might look to boost revenue. Vanderbilt has received a $20M matching pledge from an anonymous alumnus who will match all gifts from fellow alumni up to $20M. The funds will be used to support the basketball operations center and practice facility. Commodores AD Candice Storey Lee: “I’m grateful for this generous gift supporting a best-in-class facility that has gone from the drawing board to groundbreaking to soon opening its doors to our student-athletes. Vandy United and the Dare to Grow campaign are about what we can accomplish, together. Games and seasons end, but our bonds as Vanderbilt alumni are lifelong. Business of College Sports publisher Kristi Dosh explains that one component of revenue-sharing many athletic departments are sorting out right now is staffing. “Who's going to be negotiating? Who's going to be fielding calls from agents and parents? Schools tell me NIL already increased touchpoints with agents and parents who have questions or want to lobby to get their athlete a better dorm or into a better class. As the benefits increase, so will the manpower required to implement it all. And since it's very likely revenue sharing won't be implemented equally across all athletes, there will also be a need for athletes to be more educated about their value and to have people who can advocate and negotiate on their behalf. I spoke with a few current college athletes today, and they have very little knowledge of the House case or settlement. Those with agents will be at a great advantage when implementation begins. And obviously, not all of them are going to be able to get an agent.” (link)

Iowa has opened the $31M, 38K-sq-ft Goschke Family Wrestling Training Center with a formal dedication to be held May 30. The facility’s largest space, the Bob and Kathy Nicolls Wrestling Room, features 30-foot-high ceilings with nearly twice as much practice space as the former wrestling room. Private Equity Particulars…
+ NFL owners have delayed a vote on whether to allow private equity firms to acquire 10% ownership stakes in teams, though the league is in discussions to pre-approve a group of institutional investors including Arctos Partners, Ares Management Corp., Avenue Capital Group, Carlyle Group Inc. and CVC Capital Partners to do so. Kansas City Chiefs owner Clark Hunt says there is a “sense of urgency to take this step,” but that is “being weighed with owners who have been hesitant.” Hunt has said that he “supports bringing in private equity as a way to fund big projects.” There is also debate among owners about “how many clubs a single private equity firm could invest in” and the “number of firms that could buy into a single team.” (link)
+ Oaktree Capital Management says it has become the new owner of Italian soccer club Inter Milan after Chinese holding company Suning missed €395M in loan repayments.
